Licence agreement

The terms for using the DataWise Connector and the screens that come with it. Plain English, because you should be able to read what you are agreeing to.

1. Who this is between

This agreement is between DataWise Limited, Browns Bay, Auckland, New Zealand (“DataWise”, “we”) and the business that installs or uses the DataWise Connector (“you”). Nothing is signed: paying for a licence is your acceptance of these terms.

Copyright in the Connector belongs to DataWise Limited. You are licensed to use it for each company file you have paid for, once that payment has been made in full.

2. What you are licensed to use

  • The DataWise Connector — the program that copies your MYOB, Xero or QuickBooks Online company into a database on your own computer and keeps it current, with the MCP server that lets Claude read it.
  • One licence per company file. A company file is one MYOB company file, one Xero organisation or one QuickBooks Online company.
  • Unlimited users and computers on that company file — including your accountant.
  • The ProActive UI screens (Invoice Viewer, Report Starter, DataWise HQ and the others) carry no licence fee. They come with their source; you may use, copy and modify them for your own business.

You agree not to tamper with, reverse engineer, modify or extract parts of the Connector itself. (The ProActive UI screens are the exception — they are yours to modify.) You may not resell, sublicense or redistribute the Connector, or use it to provide a service to other businesses, without our written agreement.

3. Claude and Anthropic

Claude is Anthropic’s AI assistant. The Connector lets it read your data; it does not supply it.

  • Claude is not included. It is bought from Anthropic under your own Claude account, at Anthropic’s prices. A free account is enough to start; some uses, such as DataWise HQ, need a paid plan.
  • Your use of Claude, and the questions you ask of your data, are under your own agreement with Anthropic.
  • DataWise is not affiliated with or endorsed by Anthropic.

4. Your data

  • Your data is yours. It is copied into a database on your own computer, in a folder you choose. DataWise does not hold a copy of it.
  • If you stop subscribing, the database stays on your computer and remains readable by anything that reads SQLite.
  • You can protect a company’s database with your own password. We cannot recover a password you lose — but you can recreate the database and sync your data into it again from MYOB, Xero or QuickBooks.
  • What we do receive — licence details only — is set out in our Privacy policy.

5. MYOB, Xero and QuickBooks

The Connector works with MYOB, Xero and QuickBooks Online (Intuit). Your use of them is under their terms, not ours:

  • You sign in on MYOB’s, Xero’s or Intuit’s own screen, and you can withdraw the Connector’s access from inside those products at any time.
  • DataWise is an independent developer. We are not affiliated with or endorsed by MYOB, Xero or Intuit.
  • Connecting to your company is at the discretion of MYOB, Xero or Intuit, and they may require you to register or approve the connection with them.
  • The Connector works with the data and arrangements MYOB, Xero and Intuit make available. We cannot guarantee any service beyond what they allow us.
  • If one of them changes their service, updating the Connector to keep working with it is part of support (section 6).

6. Licence term, support and refunds

  • Buy as many months as you need, on our website. The licence runs for the months you have paid for and ends when they run out. A new licence key is issued on receipt of payment.
  • Fair usage rules and conditions apply.
  • Support comes with a first purchase of 12 months in advance. It covers keeping the Connector up to date when MYOB, Xero or Intuit change their service, so it keeps working with them; keeping it connected to your company; and help installing it and running it. That is all support covers. Anything else — custom screens, reports or other development — is quoted per job.
  • Refunds are given only if DataWise is unable to support the Connector, or if MYOB, Xero or Intuit stop providing the service it connects to.

The free trial runs 14 days and needs no payment details.

7. Changes to the Connector

We release new versions from time to time. The Connector tells you when one is available; installing it is your choice.

8. Responsibility

The Connector is provided to help you read and work with your accounting data. You remain responsible for your accounts and for decisions made from them.

DataWise takes no responsibility for the integrity of your data or how it is interpreted. It is your responsibility to check that any figures, reports or projections are right. Subject to New Zealand law, our warranty is limited to the price you paid for the licence.

9. Ending the licence

You may stop at any time. Months already paid for are refunded only as set out in section 6. We may end a licence that is not paid for, or that is used in breach of section 2. Your data stays on your computer either way.

10. Law

This agreement is governed by the laws of New Zealand.
